1. Agreement
By accessing or using Overtura ("the Service"), operated by Insomniac Software SRL ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Overtura is an AI-powered social media management platform that enables businesses to manage their social media presence across Facebook, Instagram, X/Twitter, and LinkedIn. Features include AI content creation, content publishing, scheduling, analytics, and insights.
3. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- You must be at least 16 years old to use the Service.
4. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation
- Publish content that infringes on third-party intellectual property rights
- Attempt to access other users' accounts or data
- Use the Service for spam, harassment, or deceptive practices
- Interfere with the proper functioning of the Service
- Reverse engineer, decompile, or disassemble the Service
5. Social Media Accounts
When you connect social media accounts to Overtura, you authorize us to access and manage those accounts on your behalf within the scope of our platform features. You retain full ownership of your social media accounts and content.
You are responsible for ensuring that your use of the Service complies with the terms of service of the connected social media platforms.
6. AI-Generated Content
The Service uses artificial intelligence to assist with content creation. You are responsible for reviewing and approving all AI-generated content before publishing. We make no guarantees about the accuracy, appropriateness, or effectiveness of AI-generated content. You retain ownership of all content published through the Service.
7. Intellectual Property
The Service, including its software, design, and documentation, is owned by Insomniac Software SRL and protected by intellectual property laws. You retain ownership of all content you create or publish through the Service.
8. Closed Beta
Overtura is currently offered as an invite-only closed beta. Access is granted by invitation, and there are no charges during the beta. We may introduce paid plans in the future; if we do, we will give you notice before any charge applies.
9. Payment, Billing, and Refunds
Paid features are billed in advance on a subscription basis (monthly or annual). We may change pricing with 30 days' notice.
Refund Policy
- During the closed beta: there are no charges, so no payments are taken and no refunds apply. Refund terms will be provided when paid plans launch.
- Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period. No partial refunds are issued for the remaining period.
- Annual plans: Pro-rated credits may be issued for annual plan downgrades at our discretion.
10. Data Protection
Our handling of your personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control.
12. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
13. Termination
You may terminate your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms. Upon termination, your data will be handled in accordance with our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of Romania. Any disputes shall be resolved by the competent courts of Bucharest, Romania, without prejudice to mandatory consumer protection provisions of your country of residence.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
